1. Acceptance of Terms
By creating an account, accessing, or using the website (merchfox.com), applications, API integrations, and services (collectively, the "Services") provided by MerchFox Global Co., LTD ("MerchFox," "we," "us," or "our"), you ("Merchant," "Seller," "User," or "you") agree to be bound by these Terms of Service ("Terms").
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the legal authority to bind such entity. If you do not agree to all terms and conditions herein, you must immediately cease accessing and using our Services.
2. Eligibility & Account Registration
Age Requirement: You must be at least 18 years old or the age of majority in your jurisdiction to create an account and use the Services.
Account Security: You are responsible for maintaining the confidentiality of your account credentials, including passwords and API keys. You accept full responsibility for all activities, charges, and orders initiated under your account.
Accuracy of Information: You agree to provide accurate, current, and complete business, tax, and contact information, and to update such information promptly upon any change.
3. Print-on-Demand & Fulfillment Services
A. Order Placement & Production
MerchFox acts as an automated print-on-demand fulfillment platform connecting Merchants with global production facilities and logistics networks.
An order is officially accepted for processing once payment is successfully debited from your MerchFox Wallet or payment method. Once an order enters the production stage, it cannot be canceled, modified, or refunded.
B. Product Specifications & Tolerances
Color & Print Variations: Due to differences in monitor calibrations, garment materials, and printing techniques (e.g., Direct-to-Garment, Sublimation, UV Printing), final product colors and print placements may slightly vary from digital mockups. Small variances within industry standards do not constitute a product defect.
Inventory Availability: While we strive to maintain consistent stock, product blanks are subject to manufacturer availability. We reserve the right to substitute comparable brands/blanks of equal or higher quality if an item is out of stock, or to cancel and refund the item.
4. Wallet, Pricing, Payments & Subscriptions
A. Pricing & Fees
All prices, production costs, shipping rates, and subscription fees are listed in U.S. Dollars (USD) unless explicitly specified otherwise. MerchFox reserves the right to adjust product base costs and shipping rates periodically based on raw material costs, carrier surcharge changes, or market fluctuations.
B. MerchFox Wallet
Merchants must maintain a sufficient balance in their MerchFox Wallet or authorize automatic billing to fulfill incoming orders.
Wallet Top-Ups: Wallet deposits processed via credit card, PayPal, bank transfer, or other payment channels are non-refundable cash equivalents dedicated exclusively to fulfilling orders and paying platform fees on MerchFox.
C. Subscription Plans (Free & Paid Plans)
Paid subscription plans (e.g., PRO Plan) are billed on a recurring basis (monthly or annually) to your registered payment method.
You may cancel your subscription at any time via My Account > Plan. Cancellations take effect at the end of the current billing cycle. No prorated refunds are issued for unused portions of a billing period.
5. Third-Party Marketplace Integrations (Amazon, Etsy, eBay, TikTok Shop, Shopify)
Account Authorization: By connecting your merchant stores (e.g., Etsy, Amazon, TikTok Shop, Shopify) to MerchFox via API or app connections, you authorize MerchFox to automatically retrieve order information, product data, and sync tracking updates to your respective selling channels.
Compliance with Channel Policies: You acknowledge and agree that you are solely responsible for ensuring your product listings, store policies, customer service standards, and shipping lead times comply with the policies and terms of service of any third-party marketplace you operate on. MerchFox is not liable for store suspensions, account penalties, or listing removals enforced by external marketplaces.
6. Intellectual Property Rights & Content Policy
A. Merchant Ownership & Warranties
You retain full ownership of all artworks, designs, trademarks, and logos uploaded to MerchFox ("Merchant Content").
By uploading content, you grant MerchFox a worldwide, non-exclusive, royalty-free license to use, reproduce, display, and process your content solely for the purpose of fulfilling your orders and producing mockups.
B. Prohibited Content
You strictly agree NOT to upload, design, sell, or request fulfillment for any content that:
Infringes upon any third party’s intellectual property, patent, trademark, copyright, trade secret, or privacy rights.
Contains hate speech, libel, defamation, obscenity, child exploitation, terrorism, or violence.
Promotes illegal goods, counterfeit items, or fraudulent schemes.
MerchFox reserves the absolute right to refuse, cancel, or terminate any order or account containing prohibited content without prior notice and without liability.
C. DMCA & IP Infringement Claims
MerchFox respects intellectual property rights. If you believe any content fulfilled through our platform infringes your copyright or trademark, please submit an IP infringement claim to [email protected].
7. Returns, Refunds & Quality Guarantee
Quality Guarantee: MerchFox will issue a free reprint or full refund to your MerchFox Wallet for items that arrive damaged, misprinted, defective, or significantly mismatched from order specifications.
Claims Window: All quality claims must be reported to MerchFox Customer Support within 30 calendar days of product delivery, accompanied by photo/video evidence of the defect and shipping label.
Buyer's Remorse & Incorrect Address: MerchFox does not offer refunds or replacements for customer errors, including ordering wrong sizes, incorrect buyer shipping addresses provided by the merchant, or buyer's remorse.
8. Limitation of Liability & Warranties Disclaimer
"AS IS" Basis: The Services, platform, and products are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.
Indirect Damages: To the maximum extent permitted by applicable law, MerchFox Global Co., LTD, its directors, employees, suppliers, and partners shall NOT be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, sales loss, or store suspensions on third-party channels.
Liability Cap: In no event shall MerchFox’s aggregate monetary liability arising out of or related to these Terms exceed the total amount paid by you to MerchFox for the specific order giving rise to the claim, or $100 USD, whichever is greater.
9. Indemnification
You agree to defend, indemnify, and hold harmless MerchFox Global Co., LTD, its affiliates, licensing partners, suppliers, officers, and employees from and against any claims, damages, liabilities, costs, losses, or legal expenses (including reasonable attorneys' fees) arising out of:
Your breach of these Terms.
Any claim that your uploaded artwork/content infringes the intellectual property or privacy rights of a third party.
Your operations on third-party sales channels (Etsy, Amazon, TikTok Shop, etc.).
10. Termination
MerchFox reserves the right to suspend or terminate your account and access to the Services immediately, without prior notice or liability, for any reason, including without limitation a breach of these Terms, non-payment of fees, or suspected fraudulent/illegal activities. Upon termination, your right to use the platform ceases immediately.
11. Governing Law & Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with applicable commercial laws. Any legal proceedings or disputes that cannot be settled amicably shall be submitted to binding arbitration or the exclusive jurisdiction of the competent courts where MerchFox Global Co., LTD is registered.
12. Modifications to Terms
We reserve the right to amend or update these Terms at any time at our sole discretion. We will notify users of material changes by posting the updated Terms on merchfox.com with a revised "Last Updated" date. Your continued use of the platform following any modifications constitutes acceptance of the updated Terms.
